These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Seedots ("Company", "we", "us", "our") governing your access to and use of the Seedots platform, including our website, applications, and AI-powered image generation services (collectively, the "Service").

By accessing or using our Service, you confirm that you:

Are at least 16 years of age (or the age of digital consent in your jurisdiction)
Have the legal capacity to enter into a binding contract
Are not prohibited from using the Service under applicable laws
Will comply with these Terms and all applicable laws and regulations

If you do not agree to these Terms, you must not access or use our Service.

2. Description of Service

Seedots provides an AI-powered creative platform that enables users to:

Generate images from text prompts using artificial intelligence
Modify, upscale, and enhance existing images
Remove backgrounds from images
Create and organize moodboards and workspaces
Generate speech and audio content
Create AI-generated video content

The Service relies on third-party AI models and infrastructure. We do not guarantee specific results, and outputs may vary based on prompts, model capabilities, and system conditions.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password confidential and secure
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We will not be liable for any loss or damage arising from your failure to protect your account. You may not share, transfer, or sell your account to any third party.

4. Credits, Payments, and Subscriptions

4.1 Credit System

Our Service operates on a credit-based system:

New users receive complimentary credits upon registration
Credits are consumed when using AI generation features
Credit costs vary depending on the type of generation and model used
Credits are non-transferable between accounts
Unused credits do not expire while your account remains active

4.2 Subscription Plans

We offer subscription plans that provide recurring credits and additional features:

Subscriptions are billed in advance on a recurring basis (monthly or annually)
Credits granted under subscriptions are added at the start of each billing cycle
Subscription credits may have different rollover policies than purchased credits
Pricing is subject to change with 30 days' notice

4.3 Refund Policy

Due to the nature of digital services and AI processing costs:

Used credits are non-refundable as they represent consumed computational resources
Refunds for subscriptions may be considered on a case-by-case basis within 14 days of purchase
Technical failures resulting in failed generations will be credited back automatically
Refund requests should be submitted to support@seedots.app

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

Your subscription will remain active until the end of the current billing period
No further charges will be made after the current period
Remaining credits will remain available until your account is deleted
Subscription benefits will end at the close of the billing period

5. Intellectual Property Rights

5.1 Your Content

Subject to your compliance with these Terms:

You retain ownership of the prompts you create and images you upload
You own the output generated through the Service, subject to any third-party rights in source materials
You are responsible for ensuring you have rights to any content you upload
Commercial use of generated content is permitted under paid plans

5.2 License to Us

By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to:

Store, process, and transmit your content to provide the Service
Create backups and maintain system functionality
Analyze anonymized, aggregated data to improve our Service

We will NOT use your content to train AI models, sell your content to third parties, or publicly display your content without your explicit consent.

5.3 Our Intellectual Property

The Service, including its design, functionality, software, and branding, is owned by Seedots and protected by intellectual property laws. You may not:

Copy, modify, or create derivative works of our Service
Reverse engineer, decompile, or disassemble our software
Remove or alter any proprietary notices or labels
Use our trademarks without written permission

6. Acceptable Use Policy

6.1 Prohibited Content

You may NOT use our Service to create, upload, or distribute:

Content depicting minors in sexual or exploitative situations
Non-consensual intimate imagery or deepfakes of real individuals
Content promoting violence, terrorism, or hate speech
Content that infringes on intellectual property rights of others
Fraudulent, misleading, or deceptive content designed to deceive
Content that violates any applicable laws or regulations
Malware, viruses, or other harmful code
Spam, phishing, or unsolicited commercial content

6.2 Prohibited Activities

You may NOT:

Circumvent, disable, or interfere with security features
Use automated systems (bots, scrapers) without written permission
Attempt to gain unauthorized access to our systems or other users' accounts
Overload or disrupt our infrastructure
Resell, redistribute, or sublicense the Service
Use the Service for competitive analysis or benchmarking
Create multiple accounts to abuse free credits or promotions
Impersonate any person or entity

6.3 AI Ethics and Responsibility

You acknowledge that AI-generated content requires responsible use:

Disclose when content is AI-generated where legally required or contextually appropriate
Do not use AI-generated content to spread misinformation
Respect the rights and dignity of individuals depicted in AI content
Comply with platform-specific rules when sharing AI content on third-party services

7. Content Moderation and Enforcement

We reserve the right to:

Monitor content for compliance with these Terms
Use automated systems to detect prohibited content
Remove or disable access to content that violates these Terms
Suspend or terminate accounts for violations
Report illegal content to law enforcement authorities
Cooperate with law enforcement investigations

We may take action without prior notice in cases of serious violations. Repeated or egregious violations will result in permanent account termination.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice when possible)
Emergency repairs or security updates
Third-party service outages
Events beyond our reasonable control

8.2 Modifications

We specifically disclaim:

Any warranty of merchantability or fitness for a particular purpose
Any warranty that the Service will be uninterrupted, secure, or error-free
Any warranty regarding the accuracy, quality, or reliability of AI-generated content
Any warranty that results will meet your requirements or expectations
Any warranty regarding the availability of specific AI models or features

AI-generated content may contain errors, inaccuracies, or unexpected results. You are responsible for reviewing and validating all outputs before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
We are not liable for any actions taken by third parties, including AI model providers, or for content generated by AI systems.

These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Seedots and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of third parties
Content you create, upload, or distribute using the Service
Your violation of any applicable laws or regulations

12. Account Termination

12.1 Termination by You

You may delete your account at any time through your account settings. Upon deletion:

Your account and all associated data will be permanently deleted within 30 days
Any remaining credits or subscription time will be forfeited
Generated content stored on our servers will be deleted

12.2 Termination by Us

We may suspend or terminate your account immediately if:

You breach these Terms
We are required to do so by law
Your account poses a security risk
Your account has been inactive for an extended period

In cases of termination for cause, we may retain certain information as required by law or for legitimate business purposes.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@seedots.app to attempt to resolve any dispute informally. We will make good-faith efforts to resolve issues within 30 days.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

13.3 Jurisdiction

Any legal proceedings shall be conducted in the courts of competent jurisdiction. EU consumers may bring proceedings in their country of residence.

14. Changes to Terms

We may modify these Terms at any time. When we make material changes:

We will update the "Last updated" date at the top of these Terms
We will notify you by email or through a prominent notice on our Service
Material changes will take effect 30 days after notice, unless otherwise specified

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Seedots regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.
